Abstract

Anonim şirketler günümüz ekonomisinin vazgeçilmez bir aktörü haline gelmişlerdir. Başta şirket tüzel kişiliği, pay sahipleri ve şirket alacaklıları olmak üzere birçok menfaat grubunu etkilemektedirler. Bu sebeple, ekonomik hayatta bu denli büyük bir yer işgal eden anonim şirketlerin yönetimi konusu oldukça önemlidir. Bu çalışma kapsamında, anonim şirketin yönetim faaliyetini daha verimli bir şekilde yerine getirmesi amacı ile yönetim yetkilerinin devredilmesi imkanı incelenecektir. Yönetim kurulunun uhdesinde bulunan yönetim yetkisinin devri en çok sorumluluk bahsinde etkisini göstermektedir. Bu sebeple de, bu çalışmada yönetimin devri konusunun hukuki boyutu incelenirken en çok yönetimin devrinin sorumluluğa etkileri üzerinde durulmaya çalışılmıştır.Joint stock companies have become an indispensable actor in today's economy. It affects company entity firstly, but also shareholders and the creditors of the company are effected by act of joint stock companies. For this reason, the subject of management of joint stock company is significant. In this study, the possibility of transfer of management powers which is more efficient way of fulfilling management tasks will be examined. The transfer of management powers which are vested in the board shows the impacts mostly at the responsibility area. For this reason, we have tried to focus on the effects of transfer of management on the responsibility, when examining the legal aspects of the transfer of management.
